Access to the SenseCloud platform enables users to view feeds and analytics from from their SenseCloud installations in real-time via our secure cloud platform. By subscribing to and using our services, you agree to be bound by these. Terms of Service ("Terms"). Please read them carefully before using the SenseCloud service.
Throughout these terms, "we", "us", "our", and "the company" refer to ElectraMetrics Ptd Ltd (ABN 39 674 931 232), the entity responsible for managing this policy and handling your personal information. The subscription fee for the SenseCloud service is billed annually. Payment is due in full at the beginning of the subscription period. Access to the service may be suspended or terminated if payment is not received in a timely manner. Subscription fees are subject to change with prior notice from ElectraMetrics. Any changes in fees will not affect the current subscription period but will apply to subsequent renewals.
To use the SenseCloud service, you must register for an account providing accurate and complete information. It is crucial to keep this information updated. You are responsible for maintaining the confidentiality of your account details, including your password, and for all activities under your account. Notify ElectraMetrics immediately of any unauthorised use of your account or any other security breaches.
ElectraMetrics grants you a non-exclusive, non-transferable, limited right to access and use the SenseCloud service for your company's internal business use, subject to these Terms. You agree not to use the service for any unlawful purposes or in any way that violates these Terms. You are responsible for obtaining and maintaining all necessary equipment and internet services needed to access and use the SenseCloud service.
The visual content and data accessible through the SenseCloud service are confidential and intended solely for the subscriber's use. ElectraMetrics is committed to protecting your privacy. Our collection, use, and disclosure of personal and company information are governed by our Privacy Policy.
All rights, titles, and interests in the SenseCloud service and its components, including all associated intellectual property rights, are owned by ElectraMetrics and its licensors. You may not reproduce, modify, distribute, or create derivative works from any part of the SenseCloud service without express permission from ElectraMetrics.
ElectraMetrics reserves the right to terminate or suspend your account and access to the SenseCloud service for any breach of these Terms or for any other reason at our discretion. Upon termination, your right to use the SenseCloud service will cease immediately.
The SenseCloud service is provided on an "as is" and "as available" basis without warranties of any kind. ElectraMetrics does not guarantee the accuracy, completeness, or usefulness of the service and disclaims all liability for any damages arising from your use of the SenseCloud service.
EXCEPT AS REQUIRED BY APPLICABLE LAW, ELECTRAMETRICS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES CAUSED BY:
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ElectraMetrics, its affiliates, officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to SenseCloud, your violation of any term of these Terms, your violation of any third-party right, including without limitation any copyright, property, or privacy right, or any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of SenseCloud.
Users must be at least 13 years old. Minors should have their parent or guardian’s permission to use SenseCloud. If using SenseCloud on behalf of a business, you confirm that you have the authority to bind that business to these terms.
SenseCloud may contain links to third-party websites and online services that are not owned or controlled by ElectraMetrics. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and privacy policy of each third-party website or service that you visit.
Downloadable Software: When SenseCloud requires or includes downloadable software, ElectraMetrics gives you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the software provided as part of the service. This license is for the sole purpose of enabling you to use and benefit from SenseCloud as provided by ElectraMetrics, in the manner permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of the software, nor reverse-engineer or attempt to extract the source code, unless laws prohibit these restrictions or you have our written permission.
ElectraMetrics reserves the right to modify these Terms at any time. We will notify users of any changes by posting the updated Terms on our website. Continued use of the SenseCloud service after changes implies acceptance of the new Terms.
These Terms are governed by the laws of the jurisdiction from which the SenseCloud service is provided, without regard to its conflict of law principles.
